전 미국인 사내 변호사 "폭로한 뒤 해고" 소송 제기
전문가 "사내 변호사 피소 망신, 사실여부따라 파장
쿠팡 "과거에도 똑같은 주장, 강력하게 대응할 방침"
쿠팡이 유엔(UN)의 제재를 받고 있던 이란과 '불법 비밀거래'를 했다는 주장이 제기됐다.
전문가들은 유엔 제재하에 있는 국가나 기관에 물건 팔고 대금을 받는 것은 불법이라고 보고 있다.
쿠팡의 사내 변호사로 한국에서 근무했던 필립 스미스는 지난 8일 "이같은 폭로에 따른 보복성 해고를 당했다"며 소송을 제기했다.
소송전이 본격화되고 스미스의 주장이 사실로 드러나면 국제 문제로 비화되는 파장이 예상된다.
18일 미국 로우360(Law360) 분석과 세이프타임즈가 확보한 소장을 보면, 쿠팡 전직 사내 변호사 스미스는 "이란 정부와 한 것으로 추정되는 불법 비밀거래에 대한 문제를 제기한 뒤 쿠팡으로부터 보복성 해고를 당했다"고 주장했다.
스미스는 최근 이 같은 내용을 담은 소송을 미국 서부 워싱턴 지구 연방법원(소송 번호 2:23-cv-01887)에 제기했다. 징벌적 손해배상과 변호사 비용을 포함한 일반 손해배상을 동시에 청구했다.
스미스는 2021년 2월 한국 쿠팡 법무팀(서울)에 소속돼 신임 최고 법무 담당자 밑에서 사내 변호사로 업무를 시작했다. 회사 돈세탁 방지, 국제 제재와 금융 범죄 준수 노력을 감독하는 것이 주요 업무였다.
그는 "회사의 금융 범죄 위험을 검토하기 시작했고, 이 과정에서 (쿠팡이) 미국과 한국법을 다수 위반한 것을 확인했다"고 주장했다.
특히, 이란이 핵 관련으로 인해 유엔 제재를 받고 있던 상황에서 쿠팡이 미국 규정을 위반, 이란 대사관과 100건 이상의 거래를 진행했다는 내용이 담겨 있다. 이 같은 '불법 거래'는 미국증권거래위원회(SEC)에 반드시 공시해야 하는 내용이다.
그는 "위반 사항을 고위 경영진에게 알리려고 하자 상사가 막으려고 했었고, 그렇지만 결국 보고를 했다"고 밝혔다.
스미스는 내부고발이 '보복'으로 돌아왔다고 주장했다. 그는 "그 해 쿠팡은 SEC보고서에서 해당 활동을 보고해야 했다"며 "자신에 대한 쿠팡의 보복조치가 시작됐다"고 주장했다.
그에 대한 '부정적인' 메시지가 메신저 앱에서 사라지고 내부 이메일 토론에서 제외된 것은 물론 2021년 9월 3일 휴직 조치를 통보 받았다고 했다.
그는 "문제를 지적한 뒤 동료들로부터 괴롭힘도 받았다"고 주장한다. 그리고 "쿠팡의 최고 경영진에게 해당 거래를 알리자, 쿠팡 측은 자신의 직위를 신속하게 정지시켰다"고 했다.
스미스는 이 같은 '내부고발' 3개월 이후 해고됐다고 했다. 쿠팡이 연말까지 사임한다는 '퇴직합의서'를 보냈지만, 거부하고 변호사를 고용해 대응했다.
쿠팡은 Law360과의 인터뷰에서 "소송이 근거가 없다"며 "강력하게 대항할 것"이라고 밝혔다. 또 "스미스는 이전에도 이 같은 주장을 제기했었고, 기각됐다"며 "이번 소송에 대해서도 기각을 요청할 계획"이라고 덧붙였다.
세이프타임즈가 쿠팡에 공식 답변을 요구하자 "로360(Law360)에 나온 내용이면 충분하다"고 밝혔다.
세이프타임즈가 15일 오후 7시에 관련 내용을 송부한 뒤 공식 답변을 요구했지만, 쿠팡은 18일 오후 5시 20분에야 "메시지를 놓쳤다"며 이처럼 짤막한 문자로 회신했다. 세이프타임즈에 소송을 제기한 상황에서 대수롭지 않게 생각하거나 '패싱'하려는 분위기가 역력했다. (쿠팡은 19일 보도가 나가자 회사측의 답변을 삭제해 줄 것을 요구했다.)
국제관계 한 전문가는 세이프타임즈와의 통화에서 "쿠팡이 직접 고용한 미국 변호사에 소송을 당한 것 자체가 황당하고 망신스럽다"며 "핵 관련으로 제재를 받고 있는 이란 대사관 어떤 거래가 있었는지 확인이 된다면 파장이 만만치 않을 것"이라고 말했다.
한편 스미스는 이번 고소 이전에 행정적 해결책을 시도해왔다. 지난해 7월 미국 직업안전보건청에 불만 사항 제출을 통해 행정적 해결책을 시도했지만 "제때 제기되지 않았다"는 이유로 기각되자 항소한 상태다.

Co. Atty Says He Was Fired For Outing Transactions With Iran

Law360 (December 11, 2023, 8:34 PM EST) -- A former in-house compliance attorney for e-co㎜erce company Coupang Inc. accused his old employer of retaliation for firing him after he brought attention to undisclosed, unlawful transactions the company allegedly made with the Iranian government.
Attorney Philip Smith, who started at Seattle- and Seoul, South Korea-based Coupang in February 2021, said in his Friday complaint that he brought attention to the company's alleged unlawful transactions with the Iranian government later that year. His efforts led to both a required U.S. Securities and Exchange Co㎜ission disclosure from the company about the activity as well as harassment by colleagues for his actions, according to the lawsuit, and Coupang suspended Smith shortly after he highlighted the transactions to the company's senior management.
Smith was then fired three months later, the complaint states, which goes on to argue that the company's actions caused him "severe emotional distress" related to the uncertain state of his employment and the harassment he went through after his disclosure of the transactions.
"Coupang's treatment of Mr. Smith caused him severe emotional distress in that he and his family had no information about his employment or their ability to remain in Korea, after very recently having moved there so Mr. Smith could accept his job at Coupang," Smith wrote in the complaint, which alleges claims of retaliation and wrongful termination.
"His termination … completely unended Mr. Smith' and his family's lives, forcing them to move back to the United States to find comparable work," he said.
According to Smith's lawsuit, which asks for general damages including loss of earnings and compensation as well as punitive damages and attorneys fees, Smith moved with his family to Seoul in April 2021. He soon began working as an attorney in the company's compliance department under Coupang's new chief compliance officer, where he would be responsible for overseeing the company's anti-money laundering, sanctions and financial crime compliance efforts, the complaint states.
As part of his duties, Smith said that he started reviewing the company's financial crime risks. This led him to identify "numerous violations" of U.S. and Korean laws, including over 100 transactions Coupang had made with the Iranian Embassy in violation of U.S. prohibitions, the complaint states.
After reporting the violations internally and not getting much of a response, Smith said that his supervisor tried to discourage him from reporting what he had discovered to the company's senior management. But Smith went ahead and told company executives about what he had discovered anyway.
The disclosure led to the company having to reveal the activities in a SEC report that year, which subsequently brought on a "swift campaign of retaliation" against Smith, the complaint states.
"He felt that he should do everything in his power to assure that the violations were properly disclosed to the United States government by Coupang," Smith said in his court filing.
The retaliation efforts that followed, according to Smith, included "negative" disappearing texts on messaging apps about him, as well as "unfounded and untrue" allegations via email about his performance. Shortly after this Smith said he was excluded from internal email threads about the issue and then was put on administrative leave on Sept. 3, 2021.
About a week later the company sent him a separation agreement, which included a condition that he resign by the end of the year. However, he refused to resign and retained counsel, he said, who initially helped Smith defend himself to the company, until January 2022. That was when the company terminated him without cause, the complaint states.
He filed the lawsuit after pursuing administrative remedies, including a July 2022 Sarbanes-Oxley complaint to the U.S. Occupational Safety and Health Administration as well as a subsequent, ongoing appeal when the agency said his complaint was untimely.
Coupang in a statement to Law360 on Monday said Smith's lawsuit was meritless.
"We believe this action is without merit and intend to vigorously defend against it," a company spokesperson said. "Mr. Smith has previously raised these claims and they were dismissed. We intend to file a Motion to Dismiss in this action as well."
